1. Introduction

These Terms and Conditions ("Terms") govern your access to and use of the website located at alisys.in (the "Website") and the software design, engineering, product development, and related services (the "Services") provided by Alisys ("Alisys", "we", "us", or "our"), having its office at Unity Plaza, Nr. Madinatul Ilm School, Kishorgadh, Idar, Gujarat 383225, India. By accessing the Website or engaging our Services, you ("you", "your", the "Client") agree to be bound by these Terms. If you do not agree, please do not use the Website or engage our Services.

2. About Our Services

Alisys provides technology and product engineering services, including but not limited to custom software development, web and mobile application development, AI and automation solutions, UI/UX design, cloud and DevOps engineering, quality assurance, and related consulting services (collectively, the "Services"). The Services provided to a specific client are further defined in a separate proposal, statement of work, service agreement, or purchase order ("Engagement Document") signed or accepted by both parties. Where an Engagement Document conflicts with these Terms, the Engagement Document prevails for that engagement.

3. Use of the Website

  • You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, the Website by any third party.
  • You must not attempt to gain unauthorised access to the Website, any server on which it is hosted, or any of our systems.
  • You must not use automated systems (bots, scrapers, crawlers) to extract data from the Website without our prior written consent.
  • Content you submit through our contact, career, or application forms must be accurate and must not contain unlawful, defamatory, or infringing material.

4. Intellectual Property

Unless otherwise agreed in writing, all content on this Website — including text, graphics, logos, the Alisys name and marks, layouts, and code — is the property of Alisys or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Website without our prior written permission.

Ownership of intellectual property created for a client during a specific engagement (for example, source code, designs, or documentation) is governed by the applicable Engagement Document. Unless that document states otherwise, ownership of deliverables transfers to the client upon full payment of all fees due for that engagement; Alisys retains the right to reuse general know-how, pre-existing tools, frameworks, and libraries that are not specific to the client's confidential business logic.

5. Client Responsibilities

Where you engage us for Services, you agree to:

  • provide timely, accurate information, access, and feedback reasonably required for us to perform the Services;
  • ensure you have the right to share any content, data, credentials, or materials you provide to us;
  • designate an authorised point of contact for approvals and sign-offs; and
  • comply with the payment and other terms set out in the applicable Engagement Document.

Delays caused by a client's failure to provide required inputs may affect project timelines and are not attributable to Alisys.

6. Fees and Payment

Fees, invoicing schedules, and payment terms for Services are specified in the relevant proposal, quotation, or Engagement Document. Unless stated otherwise, invoices are due within the period specified on the invoice. We reserve the right to suspend work on an engagement in the event of overdue payment, after reasonable written notice.

7. Confidentiality

Each party agrees to keep confidential any non-public business, technical, or financial information disclosed by the other party in connection with an engagement, and to use it only for the purpose of performing or receiving the Services, except where disclosure is required by law. This obligation survives the completion or termination of an engagement.

8. Third-Party Links and Services

The Website may contain links to third-party websites or services (for example, social media platforms) that are not owned or controlled by Alisys. We are not responsible for the content, policies, or practices of any third-party website or service. Accessing them is at your own risk.

9. Disclaimer of Warranties

The Website and its content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. While we take reasonable care to keep the Website accurate and available, we do not warrant that it will be uninterrupted, error-free, or free of viruses or other harmful components. Specific warranties, if any, relating to delivered Services are set out exclusively in the applicable Engagement Document.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Alisys shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Website or the Services, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to a specific engagement shall not exceed the fees actually paid by the client to Alisys for that engagement in the twelve (12) months preceding the event giving rise to the claim, except where such limitation is not permitted by law.

11. Indemnification

You agree to indemnify and hold Alisys, its directors, employees, and affiliates harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Website, or your violation of any applicable law or third-party right.

12. Termination

We may suspend or restrict your access to the Website at any time, without notice, if we reasonably believe you have violated these Terms. Termination of a specific engagement is governed by the terms set out in the applicable Engagement Document.

13. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of laws principles. Subject to the dispute resolution terms of any applicable Engagement Document, the courts located in Gujarat, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or your use of the Website.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for legal, regulatory, or operational reasons. The revised Terms will be posted on this page with an updated "last updated" date. Your continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
